GnaviQ – AI-Powered Vehicle Intelligence Platform

These Terms & Conditions ("Terms") govern your access to and use of the GnaviQ platform, including its mobile applications, web portal, connected vehicle devices, APIs, software, and related services (collectively, the "Platform").

The Platform is owned and operated by WayWheel Logistics & Transport Solutions Private Limited, a company incorporated under the provisions of the Companies Act, 2013, having its registered office in India (hereinafter referred to as the "Company", "WayWheel", "GnaviQ", "we", "our" or "us").

By accessing, registering for, installing, subscribing to, or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree with these Terms, you must immediately discontinue use of the Platform.

1. DEFINITIONS

Unless the context otherwise requires, the following terms shall have the meanings assigned below:

  • "Account" means the registered user account created to access the Platform.
  • "Authorized User" means any individual authorized by a Customer to access or use the Platform.
  • "Customer" means any individual, business entity, fleet owner, organization, or government authority subscribing to the Platform.
  • "Device" means any GPS tracker, telematics device, IoT hardware, sensor, communication module, or compatible equipment connected to the Platform.
  • "Fleet" means one or more vehicles managed through the Platform.
  • "Platform" means the GnaviQ mobile applications, web portal, APIs, cloud services, software, connected hardware, dashboards, and related technologies.
  • "Services" means all products, software, cloud services, analytics, APIs, AI features, telematics services, support services, and other functionalities provided through the Platform.
  • "Vehicle Data" includes GPS location, telemetry, diagnostic information, speed, ignition status, routes, driver behaviour, alerts, sensor data, and other information generated by connected vehicles.
  • "User" means any individual accessing or using the Platform.

2. ELIGIBILITY

The Platform is intended for individuals and organizations legally competent to enter into binding contracts under applicable laws.

By using the Platform, you represent and warrant that:

  • You are at least eighteen (18) years of age or the age of majority under applicable law.
  • You possess the legal authority to enter into these Terms.
  • If using the Platform on behalf of an organization, you are duly authorized to bind such organization.

The Company reserves the right to refuse or terminate access where eligibility requirements are not met.

3. SCOPE OF SERVICES

GnaviQ is an AI-powered Vehicle Intelligence Platform designed to provide intelligent vehicle monitoring, fleet visibility, telematics, analytics, and connected mobility solutions through cloud-based software, mobile applications, web portals, APIs, and compatible IoT devices.

The Platform may provide, among other services:

  • Real-time vehicle tracking and monitoring.
  • Fleet management and operational visibility.
  • Vehicle diagnostics and health monitoring.
  • Driver behaviour analysis and safety insights.
  • Route planning and trip history.
  • Geofencing and automated alerts.
  • AI-powered analytics and predictive maintenance.
  • Reports, dashboards, and business intelligence.
  • Integration with compatible third-party applications and APIs.
  • Cloud-based fleet administration and remote management.

The Company may add, modify, suspend, or discontinue any feature or service at its sole discretion without prior notice.

4. USER REGISTRATION & ACCOUNT

To access certain features of the Platform, Users may be required to create an Account.

The User agrees to:

  • Provide accurate, complete, and up-to-date information during registration.
  • Maintain the confidentiality of login credentials.
  • Notify the Company immediately of any unauthorized access or security breach.
  • Ensure that all activities performed through the Account are authorized.

The Company reserves the right to verify user information and may suspend or terminate Accounts containing false, misleading, or incomplete information.

5. SUBSCRIPTION, PAYMENTS & RENEWALS

Certain Services offered through the Platform may require payment of subscription fees.

Unless otherwise agreed in writing:

  • Subscription fees shall be payable in advance.
  • All applicable taxes shall be borne by the Customer.
  • Subscription periods shall commence on the activation date.
  • Failure to make timely payment may result in suspension or termination of Services.
  • Subscription fees once paid shall be non-refundable unless otherwise required by applicable law.

The Company reserves the right to revise pricing, introduce new plans, or discontinue existing plans at its discretion.

6. DEVICE INSTALLATION & COMPATIBILITY

Certain Platform functionalities require compatible GPS devices, telematics hardware, sensors, SIM connectivity, or other supported equipment.

The Customer acknowledges that:

  • Device installation shall be carried out by authorized personnel or approved installation partners wherever applicable.
  • Improper installation may affect the performance of the Platform.
  • The Company does not guarantee compatibility with third-party hardware unless expressly specified.
  • Hardware malfunction, power interruptions, antenna placement, network availability, environmental conditions, or improper installation may affect service accuracy.

The Customer shall remain responsible for maintaining compatible hardware throughout the subscription period.

7. VEHICLE DATA & TELEMATICS

The Platform collects, processes, and analyses information generated by connected vehicles for the purpose of delivering vehicle intelligence services.

Such information may include:

  • Vehicle location
  • Speed
  • Ignition status
  • Engine information
  • Diagnostic data
  • Driver behaviour
  • Geofence events
  • Route history
  • Fuel information
  • Sensor readings
  • Trip analytics
  • Vehicle health parameters

The Customer represents that all necessary permissions and legal authorizations have been obtained from vehicle owners, drivers, operators, or other relevant persons before enabling monitoring through the Platform.

The Company shall process such information in accordance with its Privacy Policy and applicable laws.

8. GPS & LOCATION SERVICES

The Platform relies upon satellite positioning systems, mobile communication networks, internet connectivity, IoT devices, and cloud infrastructure.

Accordingly:

  • Location accuracy may vary depending upon network conditions, GPS signal availability, environmental interference, weather, hardware quality, and other external factors.
  • Temporary interruptions, delays, or inaccuracies may occur.
  • The Platform should not be relied upon as the sole means of emergency response or life-critical decision making.

The Company does not warrant uninterrupted or error-free location services.

9. AI-POWERED INSIGHTS & ANALYTICS

GnaviQ may utilize Artificial Intelligence (AI), Machine Learning (ML), predictive analytics, automation, and data models to generate operational recommendations and analytical insights.

These may include:

  • Driver behaviour analysis
  • Predictive maintenance alerts
  • Vehicle performance assessments
  • Fleet optimization recommendations
  • Route efficiency suggestions
  • Operational intelligence

Such outputs are generated algorithmically and are intended solely to assist Users in operational decision-making.

The Company does not guarantee the completeness, accuracy, or suitability of AI-generated insights and they should not be treated as professional, legal, engineering, or safety advice.

10. ACCEPTABLE USE POLICY

The User agrees to use the Platform only for lawful purposes and shall not:

  • Use the Platform for any illegal, fraudulent, harmful, or unauthorized activity.
  • Attempt to gain unauthorized access to the Platform, servers, databases, APIs, or user accounts.
  • Reverse engineer, decompile, modify, copy, distribute, or create derivative works of the Platform.
  • Upload malicious software, viruses, ransomware, or harmful code.
  • Interfere with or disrupt the security, integrity, or performance of the Platform.
  • Use the Platform to unlawfully monitor or track any individual or vehicle without proper authorization.
  • Misrepresent identity or provide false information.
  • Resell, sublicense, lease, or commercially exploit the Platform without prior written consent from the Company.

The Company reserves the right to suspend or terminate any account violating this policy.

11. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Platform, including its software, algorithms, source code, AI models, databases, APIs, user interface, trademarks, logos, graphics, documentation, reports, and other intellectual property are and shall remain the exclusive property of WayWheel Logistics & Transport Solutions Private Limited or its licensors.

Nothing contained in these Terms grants any ownership rights to the User except the limited right to use the Platform during an active subscription.

Users shall not reproduce, copy, modify, distribute, publish, reverse engineer, or commercially exploit any part of the Platform without prior written permission.

12. SOFTWARE UPDATES

The Company may periodically release updates, enhancements, bug fixes, security patches, new modules, or additional features.

Users agree that:

  • Software updates may be installed automatically where technically feasible.
  • Certain updates may require temporary service interruption.
  • Continued use of the Platform after updates constitutes acceptance of such modifications.

The Company is under no obligation to maintain previous versions of the software.

13. THIRD-PARTY SERVICES

The Platform may integrate with third-party services including but not limited to:

  • Mapping providers
  • Cloud infrastructure providers
  • Payment gateways
  • Communication service providers
  • SMS and Email services
  • APIs
  • Government platforms
  • Vehicle OEM integrations

The Company shall not be responsible for the availability, accuracy, functionality, or privacy practices of third-party services.

Use of such services may be governed by separate terms and privacy policies.

14. DATA PRIVACY

The collection, processing, storage, sharing, and protection of personal information and vehicle-related information shall be governed by the GnaviQ Privacy Policy.

By using the Platform, the User expressly consents to such processing in accordance with the Privacy Policy and applicable laws.

15. DATA OWNERSHIP

The Customer shall retain ownership of its operational data, vehicle information, and personal information submitted through the Platform.

The Company shall have the right to:

  • Process such data for providing Services.
  • Generate aggregated and anonymized analytics.
  • Improve system performance.
  • Develop new features.
  • Maintain security and regulatory compliance.

Aggregated and anonymized information that cannot reasonably identify any individual or Customer may be used for research, statistical analysis, and product development.

16. SERVICE AVAILABILITY

While the Company strives to maintain uninterrupted availability of the Platform, continuous operation cannot be guaranteed.

Services may be affected by:

  • Internet interruptions
  • GPS signal availability
  • Cellular network coverage
  • Power failures
  • Cloud infrastructure outages
  • Hardware malfunction
  • Scheduled maintenance
  • Cybersecurity incidents
  • Force majeure events

The Company shall not be liable for temporary interruptions beyond its reasonable control.

17. DISCLAIMERS

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

The Company makes no warranty, express or implied, regarding:

  • Continuous availability
  • Error-free operation
  • Accuracy of GPS positioning
  • AI-generated recommendations
  • Vehicle diagnostics
  • Compatibility with third-party devices
  • Suitability for any particular purpose

The Platform is intended as a decision-support tool and shall not replace professional judgement or emergency services.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Incidental damages
  • Special damages
  • Punitive damages
  • Loss of profits
  • Business interruption
  • Loss of revenue
  • Loss of business opportunities
  • Loss of goodwill
  • Loss of data

In no event shall the Company's aggregate liability exceed the subscription fees actually paid by the Customer during the twelve (12) months immediately preceding the event giving rise to the claim.

19. INDEMNIFICATION

The User agrees to indemnify, defend, and hold harmless the Company, its directors, officers, employees, affiliates, partners, and licensors against any claims, liabilities, losses, damages, penalties, costs, and expenses arising from:

  • Violation of these Terms.
  • Unlawful use of the Platform.
  • Violation of applicable laws.
  • Infringement of third-party rights.
  • Unauthorized tracking or monitoring.
  • Misuse of vehicle or personal data.

20. SUSPENSION & TERMINATION

The Company may suspend or terminate access to the Platform without prior notice if:

  • Subscription fees remain unpaid.
  • These Terms are violated.
  • Fraudulent activity is suspected.
  • Required by law.
  • Platform security is compromised.

Upon termination:

  • Access rights shall immediately cease.
  • Certain data may be retained as required by law.
  • Outstanding payment obligations shall survive termination.

21. FORCE MAJEURE

The Company shall not be liable for failure or delay in performing its obligations where such failure results from circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters
  • Floods
  • Earthquakes
  • Fire
  • Pandemic
  • War
  • Terrorism
  • Government actions
  • Labour disputes
  • Internet outages
  • Power failures
  • Cyber-attacks
  • Satellite or GPS disruptions

22. CHANGES TO THE PLATFORM

The Company reserves the right to:

  • Modify features.
  • Introduce new modules.
  • Improve functionality.
  • Discontinue services.
  • Change technical specifications.

Such changes may occur without prior notice.

23. AMENDMENTS TO THESE TERMS

The Company reserves the right to revise these Terms at any time.

Updated versions shall become effective upon publication on the official website or Platform.

Continued use of the Platform after publication constitutes acceptance of the revised Terms.

24. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

25. DISPUTE RESOLUTION & JURISDICTION

The Parties shall first attempt to resolve disputes amicably through mutual discussions.

If a dispute cannot be resolved amicably within thirty (30) days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.

The seat and venue of arbitration shall be New Delhi, India, unless otherwise agreed.

Subject to the arbitration clause, the courts having jurisdiction over the Company's registered office shall have exclusive jurisdiction over matters requiring judicial intervention.

26. SEVERABILITY

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

27. WAIVER

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of its rights.

28. ASSIGNMENT

The User shall not assign or transfer any rights or obligations under these Terms without prior written consent of the Company.

The Company may assign its rights and obligations in connection with mergers, acquisitions, restructuring, or business transfers.

29. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable Subscription Agreement, Service Level Agreement (SLA), or Order Form, constitute the entire agreement between the User and the Company regarding the use of the Platform.
